Stéphane Courbit has just signed a big blow. His company, Banijay, which produces the programs of Cyril Hanouna and “Koh Lanta” has just bought the producer of the series “Black Mirror” and multiple reality programs: the Dutch Endemol Shine. A heavyweight in global audiovisual production, which faces a heavy debt. The ambitious Banijay “has reached a definitive agreement to acquire 100% stake in Endemol Shine” including the American Disney, announced Saturday, October 26, the two groups in a joint statement.

No amount has been given but, according to a source close to the record, the purchase is “of the order of two billion euros”. This is an operation as there has not been for several years in the world of television: Endemol Shine, an emblematic actor of reality TV at the origin here twenty years of “Loft Story” , is neck and neck with the British ITV for the first place in the sector.

A very wide catalog

This acquisition by Banijay, the fourth player in the sector, should therefore create the world leader. It will, in any case, form a group that will generate a turnover of about three billion euros and triple the income of French. Beyond the numbers, it is the size of the future catalog that gives an idea of the strength of the future group, whose birth remains suspended to the agreement of the regulators.

Endemol Shine has a strong presence in reality TV and games, so it is behind the culinary competition of “MasterChef”, but also holds hit series like “Black Mirror”. Same amplitude for Banijay: its programs range from talk shows to Cyril Hanouna, in the first place “Do not touch my post”, the adventure game “Koh-Lanta” and series like “Versailles”.

Unprecedented betting

The operation is not a surprise: it concludes months, even years of speculation while Endemol Shine sought to sell. After renouncing ITV a year ago to acquire Dutch, Banijay, who did not hide his interest, was the main candidate for redemption. The two groups have, moreover, historical links since Stéphane Courbit worked for a long time at the Dutch where he managed the French subsidiary in the 2000s.

“This is an obvious strategic and industrial operation,” said the source close to the file. “After, there is a big debt problem, so the machine will have to be very profitable.” Of the approximately two billion euros that the transaction represents, the main thing is to take over the debt of Endemol Shine, which is about 1.6 billion. This is an unprecedented bet for Banijay which, since its creation in 2008, has led a forced development in multiplying acquisitions. For French, the previous size operation went back to 2016. Banijay then merged with the Italian Zodiac: that's how he acquired “Versailles” and “Koh-Lanta”.
